Terms of Service

These terms govern your use of Fondly. By creating an account or connecting a Google Business Profile, you agree to them. If you don't, please don't use the service.

1. Who we are

Fondly is operated by Fondly, Inc., a Delaware corporation based in San Jose, California ("Fondly," "we," "us"). You can reach us at tony@getfondly.co.

2. What Fondly does

Fondly is a software-as-a-service tool that ingests your Google Business Profile reviews, drafts reply suggestions in your voice using generative AI, and, only after your approval, publishes those replies back to Google Business Profile on your behalf. Fondly never auto-posts replies without explicit human approval.

You retain full control of your Google Business Profile. You can revoke Fondly's access at any time from your Google Account settings and from within the Fondly dashboard.

3. Your account

To use Fondly you must create an account and connect a Google Business Profile you own or are authorized to manage. You agree to keep your account credentials secure and to be responsible for all activity on your account.

You must be at least 18 and legally able to enter into a contract on behalf of the business you're connecting.

4. Fees and billing

Paid subscriptions are billed monthly or annually in advance through Stripe. Prices are listed on our pricing page. Subscriptions renew automatically unless you cancel before the renewal date. Cancellations take effect at the end of the current billing period. We don't issue pro-rated refunds for partial months, but we're happy to discuss unusual situations at tony@getfondly.co.

We may change our prices with at least 30 days' notice. Notice will be sent to the email address on your account.

5. Acceptable use

You agree not to use Fondly to:

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice depending on severity.

6. AI-generated content

Fondly uses third-party large language models (currently Anthropic's Claude) to draft replies. AI-generated drafts are suggestions. You are responsible for reviewing every reply before it's published. Fondly does not guarantee that drafts are accurate, appropriate, or free of errors. The business owner is the publisher of record for any reply approved through Fondly.

One- and two-star reviews are never drafted by AI for auto-publish. They are escalated to you for direct handling.

7. Your content and our license to it

You retain ownership of the reviews, replies, business information, and other data you provide or connect ("Your Content"). You grant Fondly a limited, non-exclusive license to access, store, process, and transmit Your Content solely to provide the service. We do not sell Your Content, and we do not use it to train third-party AI models outside of the prompt-response loop needed to generate your drafts.

8. Third-party services

Fondly relies on third-party services including Google (Business Profile API), Anthropic (Claude), Stripe (billing), Clerk (authentication), Supabase (database), and Resend (transactional email). Your use of Fondly is also subject to those providers' terms.

9. Privacy

Our Privacy Policy explains what data we collect, how we use it, and your rights. Our Data Processing Agreement governs data we process on your behalf.

10. Disclaimer and limitation of liability

Fondly is provided "as is," without warranties of any kind. To the maximum extent permitted by law, Fondly's aggregate liability for any claim arising out of or relating to the service is limited to the greater of $100 or the fees you paid to us in the 12 months before the claim arose. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or goodwill.

11. Indemnification

You agree to defend and indemnify Fondly against claims arising from Your Content, your use of the service, or your violation of these terms, to the extent permitted by law.

12. Termination

You can cancel at any time from your dashboard. We may terminate or suspend your account for material breach of these terms or for non-payment. On termination, we'll retain your data for 30 days so you can export it, then delete it.

13. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York, New York, and you consent to their jurisdiction.

14. Changes

We may update these terms. Material changes will be emailed to the address on your account at least 30 days before taking effect. Continued use after the effective date means you accept the updated terms.
